Terms of Subscription
These terms are the agreement between you and Green Rajasthan Private Limited, which trades as Comriq ("Comriq", "we", "us"). "You" means the company, firm, school, trust, hotel or person that holds the subscription, and the people it lets use it.
You accept these terms when you tick the acceptance box and confirm with the one-time code we send you, in the console or in a product. That acceptance, the code, the time and the version you accepted are kept as an electronic record under sections 4 and 10A of the Information Technology Act, 2000.
1. What you subscribe to
Comriq provides five software products on one shared platform, Comriq Core: People (HR, attendance and payroll), Work (projects, pipelines and field work), Books (accounts, GST and TDS), Stay (hotels and hotel groups) and Campus (schools, colleges and institutes). Each is sold separately. Your order form or the subscription screen names the products, plans and quantities you have.
Every product is marked in development until we announce it as generally available. A feature described on comriq.com is available to you only when it appears in your workspace. We tell founding customers first when a release changes what they can do.
Design and engineering work bought from Comriq Studio is not a subscription. It is governed by the Studio Engagement Agreement you accept with each quotation, and by section 4 of the Refund Policy.
2. Accounts, roles and access
- Your owner account controls your workspace. You may add a second owner. The owner decides, on the Access matrix, what each role may see and change.
- You are responsible for the people you invite, for keeping sign-in codes and devices secure, and for what is done through your accounts.
- Accounts are created by invitation only. There is no public sign-up. Every sign-in needs a one-time code sent to the registered email or phone; owners, admins and roles that touch money or pay also use a password. Comriq checks new passwords against known data breaches and refuses ones that appear there.
- Every device with a live sign-in is listed under Me → Security, and you or your admin can sign it out at any time, including all devices at once. We may sign out a session we judge to be at risk, and we tell the person why.
- Support access. Comriq support staff may open a read-only view of your workspace to resolve a support request or investigate a fault. Each view is time-limited, makes no changes, and is recorded in your workspace's audit log with the staff member's name, the reason and the time.
3. Free plans and trials
- Each product has a free plan within a size limit published on the Pricing page. Free plans have no statutory filings, no OTA channels and fair-use messaging.
- Every paid plan can be tried for 30 days without a card. At the end of a trial you choose a plan, or the workspace returns to the free plan where one fits, or it becomes read-only.
- A free workspace with no sign-in for 12 months may be archived after 30 days' notice to the owner.
4. Plans, units and prices
- Prices are on comriq.com/pricing and in your order. Indian prices exclude GST. Discounts come only from the published volume slabs, the bundle discount and annual prepaid pricing; together they never exceed 35% off the monthly list price on any line.
- The billable unit is defined per product: an active employee (People), an assigned paid seat (Work), an organisation (Books), a sellable room (Stay) or an enrolled student on the census date (Campus). Viewers, clients, guests and CA users are not billable.
- Pay for the days. On monthly plans a unit is billed only for the days it is active in the month: monthly price × days active ÷ days in the month.
- Plan minimums apply as published, prorated in your first and last month.
- We may change prices only at renewal, with at least 30 days' written notice. A price change never applies to a term you have already paid for.
5. Billing cycles
- Monthly plans are prepaid. The invoice for a month is issued at its start for the units in use and is due 7 days later; the workspace runs for the paid month. Units that join or leave during the month are settled by the day on the next invoice (section 4). The first invoice is issued when you choose a plan at the end of your demo or trial.
- Annual prepaid plans are invoiced in advance for the committed quantity. If your usage goes above that quantity, the extra unit-days are invoiced after each quarter at the annual daily rate, with no premium. There is no credit for using less.
- Campus is billed per academic year on the enrolment count at the census date, with true-ups for net additions on 30 September and 31 January, payable yearly, in three terms (+5%) or monthly (+20%).
- Upgrades apply from the day of the change. Downgrades and reductions apply from the next month on monthly plans and at renewal on annual plans.
- You receive one invoice per cycle for all your products, with a usage annexure. Raise a dispute from the invoice page within 30 days; the undisputed part stays payable. This is a billing procedure and does not limit any remedy the law gives you.
6. Taxes
GST at the applicable rate is added to Indian invoices according to the place of supply. Supplies to customers outside India are invoiced under a Letter of Undertaking where the law allows. If you deduct tax at source, the invoice is treated as paid when the payment and the TDS certificate together cover it; please send certificates each quarter.
7. Payment
You may pay by card or UPI under a mandate, by e-NACH, or by bank transfer against the invoice. Your card or UPI provider sends its own notice before each mandate debit. Renewals above ₹15,000 on a card need your authentication each time under RBI rules.
8. Late payment, read-only and suspension
The schedule is in the Cancellation and Suspension Policy, which forms part of these terms. In short: reminders before and after the due date, read-only from day 15, suspension from day 30, termination from day 45; on annual plans we shorten the remaining term instead of cutting off service. Functions that protect guests, students and employees are not switched off before termination. Late amounts carry simple interest as set out in that policy; GST applies to interest.
9. Your data
- Your data stays yours. You can export it at any time, including while read-only or suspended, and for 30 days after termination.
- Under the Digital Personal Data Protection Act, 2023, you are the data fiduciary for the personal data you put into the products and Comriq is your data processor. The Data Processing Addendum forms part of these terms.
- You are responsible for having a lawful basis for the data you add, for giving the notices the law requires, and for keeping the records the law requires you to keep (accounts, GST, payroll and labour registers). The products help with notices and consent where a feature needs them.
- Data is stored in Mumbai. The sub-processors we use are listed in the Privacy Policy and the Data Processing Addendum.
- We may use data about how the products are used in aggregated or anonymised form (for example how many workspaces run payroll on a given day) to operate, secure and improve the service. It never identifies you, your people or your customers, and it is never sold.
10. Acceptable use
You will not use the products to break the law, to process data you have no right to process, to send messages people have not agreed to receive, to probe or overload the service, to reverse-engineer it, or to resell it without our written agreement. We may suspend access that threatens the security of the service or other customers, and we will tell you why.
11. Availability and support
We run the service with care and aim for it to be available around the clock, except for maintenance we announce in advance. Support is by email at support@comriq.com; we acknowledge within one business day. Pro and Enterprise plans include priority support as described on the Pricing page.
12. Intellectual property
The products, their design and their code belong to Comriq. Your data, your documents and your brand belong to you. You give us the right to host and process your data only to provide the service to you. If you send us suggestions, we may use them without owing you anything.
13. Confidentiality
Each of us keeps the other's confidential information confidential and uses it only for this agreement, during it and for three years after, except where the law requires disclosure.
14. Warranties
We will provide the service with reasonable skill and care. The products help you calculate payroll, tax and other statutory figures from rules we maintain and date; you remain responsible for checking them with your own advisers before you file or pay. Nothing on comriq.com or in the products is legal, tax or investment advice.
15. Liability
- Each party's total liability under this agreement is capped at the fees paid or payable by you in the 12 months before the claim.
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
- The cap and the exclusion do not apply to fraud, wilful misconduct, breach of confidentiality or data-protection obligations, your payment obligations, or anything the law does not allow to be limited.
16. Term and termination
- Monthly plans run month to month. Cancel from Settings in no more than two steps; cancellation takes effect at the end of the month.
- Annual plans renew for the same term and quantity unless either side gives notice at least 30 days before the end date. We remind you 45, 15 and 7 days before.
- Either party may terminate for a material breach not cured within 15 days of written notice (30 days where the refund terms say so). We may terminate immediately for unlawful use, a security threat or insolvency, and for convenience on 90 days' notice with a pro-rata refund of prepaid fees.
- After termination, the export window and deletion follow section 9 and the Cancellation and Suspension Policy.
17. Customers who may be consumers
If you are a school or trust, a homestay or owner-run property, or an individual or sole proprietor, the safer terms in the Refund Policy and the Cancellation and Suspension Policy apply to you, and they prevail over anything less favourable in these terms. Nothing in this agreement takes away a right you have under the Consumer Protection Act, 2019, including the right to complain to a consumer commission where you live.
18. Using comriq.com
You may read, print and share the pages of comriq.com. You may not scrape or bulk-copy the site, present its material as your own, or attempt to break, overload or gain unauthorised access to it. The sample screens on the site are illustrative: their names and figures are invented and are not a customer's data or a performance claim. Asking for a demo or a founding place is not an order and creates no contract.
19. Changes to these terms
We may publish a new version of these terms. The version number, effective date and a summary of changes are at the top, and earlier versions stay readable. A change that reduces your rights applies to your subscription only from your next renewal, unless the law requires it sooner.
20. Governing law and disputes
These terms are governed by the law of India. If a dispute arises, we will first try to settle it through good-faith discussion between senior people for 30 days. If that fails, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed under the rules of an arbitral institution we both accept (such as the Delhi International Arbitration Centre), seated in Jaipur, Rajasthan, conducted in English. Neither party appoints the arbitrator alone. Subject to that, the courts at Jaipur, Rajasthan have exclusive jurisdiction, and either party may ask them for urgent interim relief. Section 17 applies to customers who may be consumers, who keep the right to approach the consumer commission where they live.
21. Notices and contact
We send notices to the owner's email address and, where the law requires, to your registered address. Write to us at support@comriq.com, billing@comriq.com for invoices, privacy@comriq.com for data requests and grievance@comriq.com for complaints about personal data.
22. General
- Who may accept. You confirm that you are at least 18 and have authority to bind the organisation you sign up. Employees, guests, parents and students use the products under their organisation's subscription and these terms do not make them our customers.
- Your indemnity. You will indemnify Comriq against third-party claims, fines and reasonable costs that arise from data you put into the products without the right to do so, from unlawful use of the products through your accounts, or from your breach of section 9 or 10.
- Our indemnity. We will defend you against a claim that the products, as we provide them, infringe someone's intellectual property in India, and pay the damages awarded or agreed, provided you tell us promptly and let us handle the defence. If a claim arises, we may modify or replace the affected part, or end the affected subscription with a pro-rata refund of prepaid fees.
- Products marked in development are provided without an availability commitment until we announce general availability; sections 14 and 15 still apply.
- Force majeure. Neither party is liable for a delay or failure caused by events outside its reasonable control (including internet or power failures, acts of government, strikes, epidemics and natural events), except for payment obligations. We keep the service running from a second region where we can.
- Assignment. You may not assign this agreement without our written consent, which we will not refuse unreasonably for a successor to your business. We may assign it to an affiliate or to a buyer of the Comriq business, with notice to you.
- Entire agreement. These terms, your order, the Refund Policy, the Cancellation and Suspension Policy, the Data Processing Addendum and the Privacy Policy are the whole agreement. If one part is unenforceable the rest stands. A failure to enforce a term is not a waiver of it. Nobody other than you and us has rights under it.
- Publicity. We name you as a customer only with your written consent, which you may withdraw.
- Electronic records. Notices and acceptances exchanged through the products or by email are valid records. English is the language of this agreement; a translation is for convenience only.
- Survival. Sections 9, 12, 13, 15, 20 and 22 survive termination.
